SELLER LISTING AGREEMENT

This Seller Listing Agreement ("Agreement") is entered into by and between:
CebuLandMarket, an online property listing platform operating at cebulandmarket.com (hereinafter referred to as the "Platform")

1. PURPOSE
The Seller wishes to list their property on the Platform for the purpose of finding potential buyers. The Platform agrees to publish and promote the property listing in exchange for the fees outlined in this Agreement.
2. LISTING FEE
A non-refundable listing fee of Five Hundred Pesos (₱500.00) shall be paid by the Seller via GCash to CebuLandMarket upon submission of the listing. The GCash number will be provided upon confirmation of listing submission.
The listing fee covers the cost of publishing, maintaining, and promoting the property on the Platform.
If the property listing does not pass the Platform's document verification process, the ₱500.00 listing fee shall be fully refunded.
The listing shall remain active on the Platform until the property is sold, unless the Seller requests removal.
3. PLATFORM FEE (1%)
The Platform shall add a one percent (1%) service fee on top of the Seller's asking price. This adjusted amount shall be the final listing price displayed to buyers on the Platform.
The Seller's asking price remains unchanged. The 1% is added on top — there is no deduction from the Seller's desired amount.
Upon successful sale of the property, the Seller agrees to remit the 1% platform fee to CebuLandMarket via GCash within seven (7) calendar days from the date of closing or receipt of payment from the buyer.
Example computation:
Seller's asking price: ₱1,000,000
1% platform fee: ₱10,000
Listing price shown to buyers: ₱1,010,000
Seller receives: ₱1,000,000 (their full asking price)
The 1% fee shall be computed based on the final actual sale price. If the property is sold at a different price than listed (e.g., after negotiation), the 1% shall be based on the actual transaction amount.
4. PAYMENT OF PLATFORM FEE
The 1% platform fee shall be remitted via GCash to:

The GCash number will be provided by CebuLandMarket upon confirmation of sale.
The Seller shall send proof of payment (screenshot of GCash transaction) to cebulandmarket@gmail.com.
Payment is due within seven (7) calendar days from the date of closing or receipt of buyer's payment, whichever comes first.
5. SELLER'S RESPONSIBILITIES
The Seller shall provide accurate and truthful information about the property, including but not limited to: lot area, title status, property condition, boundaries, and ownership.
The Seller is responsible for showing the property to interested buyers and accommodating property viewings.
The Seller shall respond to buyer inquiries in a timely and professional manner.
The Seller shall not redirect buyers to transact outside the listed price with the intent of avoiding the 1% platform fee.
The Seller shall inform the Platform within 48 hours if the property has been sold, reserved, or is no longer available.
6. PLATFORM'S RESPONSIBILITIES
The Platform shall publish and maintain the Seller's listing in good faith.
The Platform shall verify the Seller's property documents before publishing the listing.
The Platform shall forward buyer inquiries to the Seller via the contact information provided.
The Platform shall keep all Seller documents and personal information confidential.
7. TERMINATION
The Seller may request removal of their listing at any time by contacting the Platform.
The Platform reserves the right to remove any listing that violates these terms or contains false information.
If the property is sold while the listing is active, the 1% platform fee obligation remains in effect regardless of whether the listing is subsequently removed.
8. NON-CIRCUMVENTION
The Seller agrees not to circumvent the Platform by directing buyers introduced through the Platform to transact privately to avoid the 1% fee.
Any buyer who first discovers the property through the Platform shall be considered a Platform-introduced buyer, and the 1% fee shall apply to any transaction with such buyer within twelve (12) months from the date of first inquiry.
9. BREACH AND REMEDIES
Failure to remit the 1% platform fee within the prescribed period shall constitute a breach of this Agreement.
In case of breach, the Platform may:
Remove all of the Seller's listings from the Platform
Prohibit the Seller from listing future properties
Pursue legal remedies under Philippine law to recover the unpaid fee
Report the transaction to relevant authorities if necessary
10. LIMITATION OF LIABILITY & DISCLAIMER
CebuLandMarket is an online listing platform only. The Platform does not own, manage, or have physical control over any listed property.
The Platform shall not be held responsible or liable for any accidents, injuries, deaths, property damage, loss, theft, fraud, or any other incidents that may occur during property viewings, transactions, or any interaction between buyers, sellers, or third parties.
The Platform shall not be liable for any disputes, misrepresentations, or conflicts between the buyer and seller, including but not limited to: property condition, boundaries, ownership disputes, document authenticity, or payment issues.
All property viewings and transactions are conducted at the sole risk of the parties involved. The Seller and buyer are responsible for their own safety and due diligence.
The Platform makes no warranties or guarantees regarding the sale of any property. Listing a property does not guarantee that it will be sold.
By using the Platform, the Seller agrees to hold CebuLandMarket harmless from any and all claims, damages, losses, or expenses arising from the listing, viewing, or sale of the property.
11. GOVERNING LAW
This Agreement shall be governed by the laws of the Republic of the Philippines. Any disputes arising from this Agreement shall be settled amicably between the parties. If no resolution is reached, the dispute shall be brought before the proper courts of Cebu City, Philippines.
12. ENTIRE AGREEMENT
This document constitutes the entire agreement between the Seller and the Platform regarding the listing of the property. Any amendments must be in writing and agreed upon by both parties.
